Ruling Affirms Tax Breaks for Start-Up Corporations

Boston, MA — August 2, 2010 — The Massachusetts Supreme Judicial Court (SJC) ruled on Friday, July 30, that the State Department of Revenue was relying on too narrow a definition of manufacturing when it denied Onex Communications a tax exemption meant to encourage start-up manufacturers to locate in Massachusetts. Partner Richard L. Jones of ZAG/S&W LLP represented company Onex Communications in the case.

The case is a big win for start-up companies in the process of manufacturing their first products. The SJC ruled that a company can be considered a manufacturing company even prior to finishing its first product. The court said manufacturing is a process, and a company can be engaged in manufacturing as long as it is performing an essential and integral part of that process, regardless of whether the product is finished.

ZAG/S&W's Richard Jones, who argued on behalf of Onex, said, "We are pleased with this result for our client, as well as for other start-up manufacturers in Massachusetts. The decision has ramifications for manufacturers in the pre-production stage in the State and those that may want to locate in the Commonwealth. It reaffirms the legislature's intent to attract new businesses to Massachusetts."

The State Department of Revenue had argued that because Onex hadn't actually made "a finished product," it could not qualify for the use tax exemption available to manufacturers on its $2.7 million in research and development purchases, and therefore owed close to $300,000 in taxes, interest and penalties.

But the SJC agreed with Onex's argument that it was, in fact, actively engaged in preparing to build the OMNI chip, an integrated circuit for the transmission of a data and voice transmissions for the telecommunications industry. The SJC stated:

"[W]hen a company performs some type of transformative process on raw materials, we have concluded that the company was engaged in manufacturing," the court said.

The court further stated with regard to the Department of Revenue's claim that having a finished product is a prerequisite to being a manufacturing corporation:

"Indeed, such a policy, which would place new companies in a disadvantageous tax position compared to existing companies, would tend to discourage the location of start-up companies in Massachusetts. In addition, imposing a finished product rule would allow the commissioner to set audit periods arbitrarily so that the period reviewed could exclude, even by one day, the time at which the final product was distributed and sold. Such arbitrary enforcement periods would create the possibility of abuse of discretion and unequal treatment of individual taxpayers."

New Of Counsel Expands Reach of Water Resources Group

Dr. Sherk is a highly regarded practitioner and academic in the fields of natural resource and water law and policy. For many years, he has provided counsel on issues involving water resource management and allocation in both the western and eastern United States. At ZAG/S&W LLP, Dr. Sherk will advise clients on water-related legal and policy issues, and will handle client disputes (particularly interstate disputes) involving the availability, use and quantity and quality of water resources.

Jerome C. Muys Jr., environmental litigator and leader of the firm's Environmental & Natural Resources Group, said, "We are very excited to have Jerry join our team. Most recently, Dr. Sherk has served as the managing director of the Colorado Energy Research Institute at the Colorado School of Mines, and as an adjunct professor at the University of Denver Sturm College of Law. He also is an associate at the UNESCO Centre for Water Law, Policy and Science at the University of Dundee in Scotland, and previously has served as a visiting scholar at the University of Wyoming College of Law and as a visiting professor at Georgia State University.

Next month, Dr. Sherk will commence a new position as chief operating officer of The International Performance Assessment Centre for Geologic Storage of Carbon Dioxide (IPAC-CO2) at the University of Regina, in Canada. IPAC-CO2 is in the process of developing performance assessment standards for carbon sequestration technologies.

According to Dr. Sherk, "Issues relating to both water conservation and the implementation of alternative energy technologies are complex and require an interdisciplinary approach involving both the scientific and legal communities. Previously, Dr. Sherk served as a trial attorney with the Environmental and Natural Resources Division of the U.S. Department of Justice. Since 1990, he has maintained a private law practice. GLAD Lawsuit Results in Federal Court Striking Down DOMA
Section 3

Nagle have been acting as lead tax counsel on a pro bono basis to Gay & Lesbian Advocates & Defenders (GLAD) in its filing of a multi-plaintiff legal challenge to Section 3 of the federal Defense of Marriage Act (DOMA). The following press release was distributed by GLAD:

Today, U.S. District Court Judge Joseph L. Tauro ruled that Section 3 of the Defense of Marriage Act (DOMA) is unconstitutional with respect to claims brought by seven married same-sex couples and three widowers from Massachusetts. Under the ruling, the plaintiffs are entitled to the same federal spousal benefits and protections as every other married couple.

The ruling stems from the lawsuit Gill et al v. Office of Personnel Management et al, filed by Gay & Lesbian Advocates & Defenders (GLAD) in March 2009.

"Today the Court simply affirmed that our country won't tolerate second-class marriages," said Mary Bonauto, GLAD's Civil Rights Project Director, who argued the case. "I'm pleased that Judge Tauro recognized that married same-sex couples and surviving spouses have been seriously harmed by DOMA and that the plaintiffs deserve the same opportunities to care and provide for each other and for their children that other families enjoy. This ruling will make a real difference for countless families in Massachusetts."

"I am thrilled that my family will now be treated in the same way as those of my married co-workers at the post office," said Nancy Gill, who is a plaintiff with her spouse, Marcelle Letourneau. "Marcelle and I married out of love and commitment to each other first and foremost, but federal recognition of our marriage means that we'll have equal access to important protections for our two children and for ourselves."

Gill is a 22-year employee of the U.S. Postal Service who cannot cover Letourneau on her family health and vision insurance plans, forcing the couple to pay extra to insure Letourneau. Marcelle is also ineligible to receive the federal health benefit given to surviving spouses or to access Nancy's pension should Nancy predecease her.

The next step in the case is for the federal government to decide whether it will appeal Judge Tauro's ruling to the U.S. Court of Appeals for the First Circuit. That decision should come within the next 60 days.

Congress passed DOMA in 1996. Section 3 of the law states that only a marriage between one man and one woman will be recognized for federal purposes. The Obama Administration called the law discriminatory, even while defending it in court.

GLAD filed the Gill case on the grounds that DOMA Section 3 violates the federal constitutional guarantee of equal protection as applied to federal income tax, Social Security, federal employees and retirees and the issuance of passports. The passport issue was resolved in 2009 when the State Department changed its policy.

Five Experienced Bankruptcy and Restructuring Attorneys Join Firm

Dick Hiersteiner has over 30 years' experience representing secured and unsecured creditors, lessors and lessees, holders of public and private debt and indenture trustees in all aspects of workouts, bankruptcy and reorganization and purchasers and sellers of distressed assets, including purchasers of assets out of bankruptcy. He also advises clients with respect to bankruptcy implications for commercial and financial transactions and structuring and litigation strategies. He is also experienced in representing institutional investors in net-lease financing, leveraged leases of equipment, real estate mortgage financing, and secondary mortgage market transactions and financial derivatives. Jeanne P. Darcey, Partner
Jeanne Darcey has over 25 years' experience representing debtors, secured and unsecured creditors, indenture trustees, and bondholders across the capital structure in workouts, out-of-court restructurings, liquidations, and Chapter 11 proceedings. Water Technology Forum to Highlight Israeli Conservation, Alternative Energy Solutions

Washington, D.C. — March 22, 2010 — On Tuesday, March 23 at 5:30pm, a tripartite panel of experts will discuss innovative water conservation and alternative energy solutions at The American Association for the Advancement of Science in a forum sponsored by the Embassy of Israel, ZAG/S&W LLP and the U.S.-Israel Science and Technology Foundation.

"Many Israeli clean technology and renewable energy companies are well positioned to capitalize on opportunities in the global market," said Noam Katz, Minister of Public Diplomacy at the Embassy of Israel. "A number of Israeli companies have developed innovative solutions to the ongoing challenges of preserving water resources and developing sources of renewable energy. Some of these technologies offer the prospect of enhanced water conservation and reuse, coupled with economic development, in many areas of the globe."

Panel members include Booky Oren, executive chairman of the Miya Water Company; Ohad Cohen, commercial attaché at the Embassy of Israel; and Virginia State Senator Bob Hull. Oren has served as the corporate vice president for business development at Netafim, the largest micro-irrigation company in the world as well as chairman of Mekorot, Israel's national water company. Cohen has a long history of supporting international economic cooperation efforts of the State of Israel at his postings in the United States, Sweden, Finland and Norway. Senator Hull sponsored the bill creating a Virginia-Israel Partnership Council that advises the Governor on ways to improve economic and cultural links between the Commonwealth and the State of Israel, with a focus on the areas of commerce and trade, arts and education, and general government.

The panel will be moderated by Ann Liebschutz, Executive Director, U.S.-Israel Science and Technology Foundation.

This water technology forum will explore Israeli water conservation and water-based technologies, highlight innovative Israeli companies in the water sector and alternative energy sectors and discuss the ways in which Israeli water technologies are being implemented to solve problems in the United States.

Group to Address Heightened Importance of Water Conservation and Related Alternative Energy Technologies

Washington, D.C. – February 4, 2010 – ZAG/S&W LLP, the sole Israeli-American law firm, has announced a new practice group devoted to water conservation and related renewable energy technologies. The Water Resource Development Group was unveiled this week in Washington, D.C. at RETECH 2010, the renewable energy technology conference and exhibition.

"The need for this separate practice area became apparent from the heightened importance of water conservation technologies resulting from water-related climate issues worldwide," said ZAG/S&W's Jerome C. Muys, Jr., the leader of the new practice group.

ZAG/S&W's Water Resource Development Group advises clients in matters involving water resource and conservation technologies, water-based alternative energy technologies, and all facets of water infrastructure project development, domestically and internationally. "This new practice group further enhances the range of services that we are providing to our clients via the firm's Climate-Related Business and Technology, and Environmental and Natural Resources Groups," according to Jeffrey M. The next presentation, on the crucial topic of water conservation and energy, is scheduled for late March.
