In 2000, Mr. Auerbach became a retired partner. During his extensive legal career, Mr. Auerbach was involved in the formulation of corporate strategy, the design of capital structures, the creation and execution of corporate reorganization plans, and in negotiating and litigating disputes arising under the Securities Act of 1933, the Securities and Exchange Act of 1934, the Investment Company Act of 1940, and the former Interstate Commerce Act. His casework ranged from major corporate acquisitions and public offerings of securities exceeding $600 million to reorganizations of major interstate railroads, including extensive district and appellate litigations in federal courts emanating from union, competitive and financial fund oppositions. He also helped supervise the purchase by a pipeline company of major real estate parcels or rights covering ten states, including the preparation, negotiation and execution of financial plans for these acquisitions.
