Susan M. Barnard is co-director of ZAG/S&W's Corporate Department and a member of the firm's Management Committee. Ms. Barnard represents public and private companies with respect to matters involving securities law, mergers and acquisitions and general corporate law. Ms. Barnard also represents sponsors and institutional investors in the formation of and investment in private investment funds for commercial timberland, commercial farmland and commercial real estate. 

Representative Client Work

  • Represented a publicly held company in the vehicle recovery technology business in its acquisition of the stock of a Canadian public company for cash and exchangeable shares
  • Represented a privately held dairy company in its acquisition of 12 dairy holding and operating companies located in multiple states for cash and securities
  • Represented a privately held global strategy consulting firm in its acquisitions of the assets of several domestic and international consulting businesses
  • Represented a privately held technology company in its auction sale to a private equity firm
  • Represented a commercial timberland investment management firm in its formation of five commercial timberland investment funds structured as private REITS with aggregate offering proceeds in excess of $1.5 billion
  • Represented various domestic and foreign issuers in private placements of debt and equity securities with aggregate offering proceeds in excess of $1 billion
