Adv. Oded Har-Even, Managing Partner of ZAG-S&W US offices, delivered a presentation in which he compared the investigatory methods employed by the Israeli Securities Authority alongside the policies administered in the United States. Oded explained that whereas in the U.S. the securities authorities generally detain company officers immediately prior to the filing of a criminal complaint, in Israel company employees can be detained or brought in for questioning in situations where a criminal complaint may never materialize. Accordingly, such investigation will become public information – which may influence the stock’s performance, the company’s ability to raise funds and can ultimately lead to class action lawsuits and inquiries by regulators, all of which can happen in a case that is closed without criminal charges.
